Terms of Use

These Terms of Use ("Terms") govern your access to and use of IT Directory and its related services (the "Services"), operated by Ido Homri Software ("we," "us," or "our").

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


1. Acceptance of Terms

By creating an account or using the Services in any way, you confirm that you:

  • Are at least 18 years of age.
  • Have the authority to enter into these Terms on behalf of yourself or your organization.
  • Agree to comply with these Terms and all applicable laws and regulations.

2. Description of Services

IT Directory is a SaaS IT inventory and asset management platform used to manage devices, employee directory data, software assets, domains, integrations, and related organizational metadata. The Services are intended for use by IT professionals, administrators, and managed service providers.


3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • Protecting administrator accounts and using appropriate security measures.
  • Managing user access, assigning appropriate roles, and removing users who no longer require access.
  • All activity that occurs under your account or within your organization account.
  • Ensuring that all users within your organization comply with these Terms.
  • Providing accurate and up-to-date account information.

You must notify us immediately at info@itdirectory.app if you suspect unauthorized access to your account.


4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Services to store, transmit, or process data in violation of applicable law.
  • Upload, sync, store, or process sensitive personal data, health data, regulated financial data, government identifiers, payment card data, passwords, secrets, private keys, source code, or highly confidential information unless expressly authorized by us in writing.
  • Attempt to gain unauthorized access to any part of the Services, another user's account, another customer's tenant, any integration, environment, or data that you are not authorized to access.
  • Perform unauthorized testing, scanning, probing, or monitoring of the Services or related systems.
  • Bypass, disable, or interfere with security, access control, rate limiting, tenant isolation, or usage restrictions.
  • Overload, abuse, disrupt, damage, disable, or impair the Services or interfere with other users.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services, except to the extent such restriction is prohibited by law.
  • Resell, sublicense, or otherwise make the Services available to third parties without our prior written consent.

5. Customer Data

You retain ownership of all data you upload to or generate within the Services ("Customer Data"). By using the Services, you grant us a limited license to store and process your Customer Data solely to provide, secure, maintain, and support the Services.

You are responsible for ensuring that you have all necessary rights, permissions, notices, consents, and lawful bases to upload, sync, and process employee, device, asset, domain, and organizational data through the Services. You are also responsible for ensuring that your use of the Services does not violate applicable law, third-party rights, employment policies, contracts, or internal procedures.

Where employee, contractor, or end-user data is entered into or imported through the Services, you are responsible for providing any notices and obtaining any consents or approvals required by applicable law or internal policy.


6. Third-Party Integrations

The Services allow you to connect third-party accounts and services, such as identity providers, directory services, device management platforms, MDM/UEM tools, DNS providers, domain registrars, cloud platforms, and other systems you authorize.

By enabling these integrations, you authorize us to access and sync data on your behalf using credentials, tokens, permissions, or other access methods you provide or approve.

You are responsible for configuring third-party integrations with the minimum necessary permissions and for reviewing, rotating, and revoking tokens, credentials, and permissions when integrations are no longer required or when required by your security policies.

We are not responsible for the availability, accuracy, security, privacy practices, or data handling of any third-party service.


7. Intellectual Property

All rights, title, and interest in the Services, including software, design, trademarks, and content, remain the exclusive property of Ido Homri Software. Nothing in these Terms grants you any ownership rights in the Services.

You retain all rights to your Customer Data.


8. Service Availability

We aim to provide reliable access to the Services. Availability targets may be published or communicated for transparency, but unless a separate written Service Level Agreement applies, we do not guarantee a specific uptime level and do not provide financial service credits for downtime.

Any availability calculation excludes scheduled maintenance, emergency maintenance, third-party service outages, customer-side systems or network issues, force majeure events, misuse of the Services, and circumstances beyond our reasonable control.

Scheduled maintenance will be communicated in advance where reasonably practicable. In the event of unplanned downtime, we will work to restore access as quickly as reasonably possible.


9. Beta, Trial, or Free Services

We may offer beta, pilot, trial, free, evaluation, or pre-release features or services. These services may be modified, limited, suspended, or discontinued at any time and may not be subject to the same support, security, availability, or retention commitments as paid services, unless expressly stated in writing.


10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be error-free, uninterrupted, or free of harmful components.


11. Limitation of Liability

To the fullest extent permitted by applicable law, Ido Homri Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the amounts you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.


12. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or for any other reason with reasonable notice.

You may terminate your account at any time by contacting us at info@itdirectory.app. Upon termination, your right to access the Services ceases and we will handle your data in accordance with our Privacy Policy and any applicable Data Processing Addendum.

Where technically available and legally permitted, you may export Customer Data before termination or deletion. After termination, access to Customer Data may no longer be available unless otherwise required by law or agreed in writing.


13. Security Suspension

We may immediately suspend access to the Services, in whole or in part, if we reasonably believe that an account, integration, Customer environment, credential, or user activity creates a security, legal, operational, or service integrity risk to the Services, other customers, third-party services, or Ido Homri Software.

Where reasonably practicable, we will provide notice of the suspension and work with the affected Customer to resolve the issue.


14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or platform banner. Continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms.


15. Governing Law

These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv-Jaffa, Israel shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
