Terms of Use

These Terms of Use ("Terms") govern your access to and use of IT Directory and its related services (the "Services"), operated by Ido Homri Software ("we," "us," or "our").

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Acceptance of Terms

By creating an account or using the Services in any way, you confirm that you:

  • Are at least 18 years of age.
  • Have the authority to enter into these Terms on behalf of yourself or your organization.
  • Agree to comply with these Terms and all applicable laws and regulations.

2. Description of Services

IT Directory is a multi-tenant IT asset and inventory management platform that enables organizations to track IT assets, resources, and related organizational data. The Services are intended for use by IT professionals and managed service providers.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Ensuring that all users within your organization comply with these Terms.
  • Providing accurate and up-to-date account information.

You must notify us immediately at info@itdirectory.app if you suspect unauthorized access to your account.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Services to store, transmit, or process data in violation of applicable law.
  • Attempt to gain unauthorized access to any part of the Services or another user's account.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services.
  • Resell, sublicense, or otherwise make the Services available to third parties without our prior written consent.
  • Use the Services in a way that could damage, disable, or impair the platform or interfere with other users.

5. Customer Data

You retain ownership of all data you upload to or generate within the Services ("Customer Data"). By using the Services, you grant us a limited license to store and process your Customer Data solely to provide the Services.

You are responsible for ensuring that you have the necessary rights to submit Customer Data and that doing so does not violate any applicable law or third-party rights.

6. Third-Party Integrations

The Services allow you to connect third-party accounts and services (such as identity providers and device management platforms). By enabling these integrations, you authorize us to access and sync data on your behalf using credentials you provide. We are not responsible for the availability, accuracy, or practices of any third-party service.

7. Intellectual Property

All rights, title, and interest in the Services — including software, design, trademarks, and content — remain the exclusive property of Ido Homri Software. Nothing in these Terms grants you any ownership rights in the Services.

You retain all rights to your Customer Data.

8. Service Availability (SLA)

We aim to provide reliable, high-availability access to the Services. Our target uptime is 99.5% monthly availability, excluding scheduled maintenance and circumstances beyond our reasonable control (force majeure, third-party service outages, etc.).

  • Scheduled maintenance will be communicated in advance where reasonably practicable.
  • In the event of unplanned downtime, we will work to restore access as quickly as possible.
  • We do not currently offer financial credits for downtime. This may be addressed in a separate Service Level Agreement for enterprise customers.

9. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be error-free, uninterrupted, or free of harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Ido Homri Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the amounts you paid us in the twelve (12) months preceding the claim.

11. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or for any other reason with reasonable notice.

You may terminate your account at any time by contacting us at info@itdirectory.app. Upon termination, your right to access the Services ceases and we will handle your data in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or platform banner. Continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved in the competent courts of the jurisdiction in which Ido Homri Software operates.
